SUPREME COURT OF NEW SOUTH WALES APPROVES SCHEME OF ARRANGEMENT
Link Administration Holdings Limited (ASX:LNK) (Link Group) announces that the Supreme Court of New South Wales (the Court) has today made orders approving the proposed acquisition of Link Group by Mitsubishi UFJ Trust & Banking Corporation (the Trust Bank), a consolidated subsidiary of Mitsubishi UFJ Financial Group, Inc., by way of scheme of arrangement (Scheme).
Link Group expects to lodge an office copy of the Court orders with the Australian Securities and Investments Commission tomorrow (Wednesday, 1 May 2024), at which time the Scheme will become legally effective.
Link Group will also request that the quotation of Link Group shares on the ASX be suspended from close of trading tomorrow.
Special Dividend Subject to the Scheme becoming effective, on Monday, 13 May 2024, Link Group Shareholders will be paid a dividend of $0.16 cash per Link Share held on the Special Dividend Record Date of 7:00pm (Sydney time) on Tuesday, 7 May 2024.
Scheme Consideration On the Implementation Date for the Scheme (expected to be Thursday, 16 May 2024), Link Group Shareholders will be paid the Scheme Consideration of $2.10 cash per Link Share in respect of all Link Shares held on the Scheme Record Date of 7:00pm (Sydney time) on Tuesday, 14 May 2024.
